Article 1 Parties and definitions
1.1 Roadwise Group B.V., having its registered office at Oudegracht 294, 3511 NX Utrecht, the Netherlands, and registered with the Dutch Chamber of Commerce under number 90577434, is the provider of the services described in these terms. In these terms, Roadwise Group B.V. is referred to as the Company.

Roadwise and the names under which the Company's websites operate are, where applicable, trade names or brands used by Roadwise Group B.V..
1.3 The Customer is a natural person aged 18 or older who acts for purposes outside their trade, business, craft or profession. These terms apply to consumers only.
1.4 A Roadwise account is the Customer's personal digital account environment provided by the Company under the Roadwise brand. Depending on the functionality available at the relevant time, the Roadwise account may allow the Customer to view previous orders, download e-vignettes and invoices, manually renew an e-vignette and place new orders.
1.5 An e-vignette is an electronic road-use entitlement or registration required for the use of certain roads or road networks. The applicable country and vignette provider determine the rules concerning validity, vehicle categories, start dates and other requirements.
1.6 An order is an order placed by the Customer through Tollvignettes.com or through their Roadwise account for an e-vignette and the related services provided by the Company. Each order constitutes a separate agreement between the Company and the Customer.
1.7 The registration fee is the separate fee the Company may charge for its own services in connection with an order.
1.8 A vignette provider is an official authority, toll operator, authorised distributor, reseller or other provider used by the Company to process an e-vignette. The Company currently uses or may use the following vignette providers:

The Company may update this list where vignette providers change or new providers are added.
Article 2 Applicability
2.1 These terms apply to:
a. the use of Tollvignettes.com;
b. the creation and use of a Roadwise account;
c. offers relating to e-vignettes;
d. orders placed through Tollvignettes.com or through a Roadwise account; and
e. agreements between the Company and the Customer relating to these services.
2.2 A Customer may place an order through Tollvignettes.com without creating a Roadwise account.
2.3 When an order is placed through Tollvignettes.com, these terms apply if they have been made available before the order is placed and the Customer proceeds after being informed that they apply.
2.4 An agreement relating to a Roadwise account is concluded when the Customer completes the registration or activation process and verifies their email address. By creating or activating a Roadwise account after these terms have been made available, the Customer agrees that these terms also apply to future use of the Roadwise account and future orders placed through it. Each e-vignette order remains a separate agreement.
2.5 Mandatory consumer rights that cannot legally be excluded or restricted remain fully applicable.
2.6 If any provision of these terms is invalid or unenforceable, the remaining provisions remain in force.
Article 3 Roadwise account
3.1 A Roadwise account can be created directly by registering for a Roadwise account or activated following an order placed through Tollvignettes.com.
3.2 The Customer's email address must be verified before the account is activated. Previous orders placed using the same verified email address may automatically be linked to the Roadwise account.
3.3 A Roadwise account is personal and may not be transferred to another person. The Customer may use the account to order e-vignettes for vehicles owned or used by other people.
3.4 The Customer is responsible for:
a. keeping login credentials confidential;
b. taking reasonable measures to prevent unauthorised access;
c. notifying the Company without undue delay if unauthorised use is suspected; and
d. keeping their email address and other relevant contact information up to date.
3.5 The Roadwise account is provided free of charge under the current service. If the Company introduces optional paid functionality in the future, it will only become payable if it is separately offered to and accepted by the Customer.
3.6 The Company may temporarily restrict or block a Roadwise account where reasonably necessary because of suspected fraud, misuse, unauthorised access, security risks, unlawful use or a serious or repeated breach of these terms. Where reasonably possible, the Company will inform the Customer.
3.7 The Customer may terminate their Roadwise account at any time. Termination does not cancel orders already placed or e-vignettes already registered. The Company may continue to retain information where required by law or otherwise permitted under applicable data protection law.
3.8 The Company may terminate the Roadwise account service as a whole or materially change the way it is provided. Where reasonably possible, affected Customers will be informed in advance.
Article 4 Placing an order
4.1 An agreement relating to an order is concluded when:
a. the Customer has submitted the order; and
b. the required payment has been successfully received or authorised.
4.2 The Company starts processing the order immediately after the agreement is concluded. This may include transmitting the order to the relevant vignette provider without delay. As a result, the Company cannot guarantee that an order can still be changed or cancelled after it has been placed.
4.3 A manual renewal of an e-vignette is a new order. The prices, fees, product conditions and other information applicable at the time of renewal apply to that new order.
4.4 The Company may refuse, suspend or cancel an order before the e-vignette has been delivered where reasonably necessary, including where:
a. information is incomplete, invalid or appears incorrect;
b. additional information is required;
c. fraud, misuse or a security risk is suspected;
d. a vignette provider refuses or is unable to process the order;
e. a technical problem prevents proper processing;
f. processing the order would be unlawful; or
g. there is an obvious pricing, publication or technical error.
If no e-vignette has been delivered, any refund due will be handled in accordance with article 8.
4.5 The Company is not bound by an obvious error in an offer or price where the Customer knew or reasonably should have understood that the information could not be correct.
Article 5 Role of the Company
5.1 For all e-vignettes except Hungarian e-vignettes, the Company acts solely as an intermediary. The Company arranges the e-vignette in the name and for the account of the Customer. The Company does not purchase these e-vignettes for resale, does not resell the underlying road-use entitlement and does not act as the issuing authority. The agreement with the Company therefore concerns the Company's intermediary and registration services.
5.2 Depending on the country and vignette provider, the Company may:
a. submit the Customer's vehicle and registration information;
b. register or arrange the registration of the e-vignette;
c. arrange payment of the nominal e-vignette price or road-use charge on behalf of the Customer;
d. communicate with the vignette provider;
e. receive confirmation of successful registration; and
f. make that confirmation available to the Customer.
5.3 For Hungarian e-vignettes, the Company does not act as an intermediary. The Company acts as an authorised reseller within the Hungarian electronic vignette distribution system. The Customer therefore purchases the Hungarian e-vignette from the Company under this reseller model.
5.4 Where more than one vignette provider is available for a country, the Company may decide which provider is used. The Customer has no right to require the Company to use a particular vignette provider.
5.5 Regardless of whether the Company acts as an intermediary or authorised reseller, the validity and use of an e-vignette are subject to the official rules applicable in the relevant country. These rules may include requirements relating to vehicle categories, weight, registration country, licence plate format, validity periods, start dates and possibilities for correction.
Article 6 Delivery and Customer responsibilities
6.1 The Company will make reasonable efforts to process an order as soon as possible after successful payment. Any stated processing time is an estimate and not a guaranteed delivery time. The Company depends on the systems and processing of vignette providers and other third parties.
6.2 An e-vignette is considered delivered when the Company receives confirmation through the relevant vignette provider or system that it has been successfully registered. Delivery does not depend on when the Customer opens or receives the confirmation email.
6.3 After successful registration, the Company makes the e-vignette or registration confirmation available by email and, where applicable, through the Customer's Roadwise account. An invoice is also provided by email.
6.4 The Customer is responsible for providing complete and accurate information required for the order, including where applicable:
a. the licence plate number;
b. the country of vehicle registration;
c. the vehicle type or category;
d. the vehicle weight or other relevant characteristics;
e. the desired start date;
f. the required validity period; and
g. the email address.
6.5 The Customer is responsible for selecting the correct e-vignette for their vehicle and journey. Information, explanations, tools or recommendations provided by the Company are intended to assist the Customer but do not transfer this responsibility to the Company.
6.6 Rules concerning vignette requirements, vehicle categories, exemptions and road-use obligations may change. The Company aims to keep its information accurate and current, but the Customer remains responsible for checking which requirements apply to their vehicle and journey.
6.7 If the Company reasonably doubts the accuracy or completeness of information provided by the Customer, the Company may suspend processing and request additional information.
6.8 The Customer must verify that the e-vignette has been successfully delivered and that the registered information is correct before using a road for which the e-vignette is required. The Customer should not use such a road until successful registration has been confirmed.
6.9 If incorrect information supplied by the Customer has already been used to register the e-vignette, the Customer is not entitled to a refund merely because the information was incorrect. This includes errors relating to the licence plate number, registration country, vehicle category, validity period or start date.
6.10 If the Customer discovers an error after delivery, the Company may assist in requesting a correction where the rules and systems of the relevant vignette provider allow this. The Company does not guarantee that a correction, transfer or amendment will be possible.
6.11 The applicable country and vignette provider determine the start date, validity period and, where relevant, the applicable local time or time zone.
6.12 If the Customer accidentally places the same order more than once and each e-vignette is successfully registered, each completed order remains payable and there is no automatic right to a refund.
Article 7 Prices, currencies and payment
7.1 Before the Customer places an order, the Company shows the total amount payable.
7.2 Where the Company acts as an intermediary, the total amount may consist of:
a. the nominal e-vignette price or road-use charge, which the Company arranges or pays in the name and for the account of the Customer; and
b. a separate registration fee for the Company's own services.
7.3 The registration fee is shown separately from the nominal e-vignette price in the final stage before payment. Registration fees may differ between countries, products and services.
7.4 For Hungarian e-vignettes, the Company acts as an authorised reseller. The pricing structure may therefore differ from the intermediary model. The Customer is always shown the total amount payable before placing the order.
7.5 Prices shown to consumers include applicable VAT and other taxes or mandatory charges, unless applicable law requires a different presentation.
7.6 The Company may change prices and registration fees at any time. Changes do not affect orders that have already been concluded.
7.7 The Company may offer payment in multiple currencies. Where the Customer selects a currency other than the underlying or base currency, the Company may apply its own exchange rate. This exchange rate may differ from interbank, central-bank or market reference rates and may include a currency conversion margin. The final amount payable in the selected currency is shown before the order is placed.
7.8 The order will only be processed once payment has been successfully received or authorised. If payment fails, cannot be verified or is reversed before processing begins, the Company is not required to perform the order.
7.9 If the Customer initiates an unjustified chargeback, reversal or payment dispute after the e-vignette has been delivered, the amount remains due. Where an amount remains unpaid, the Company may claim statutory interest and collection costs to the extent permitted by applicable law and after any legally required payment reminder or payment period.
Article 8 Withdrawal, cancellation and refunds
8.1 A Customer who concludes a distance service contract generally has a statutory right of withdrawal for 14 days, unless an exception under applicable law applies.
8.2 The Company starts performing the relevant service immediately after the order is placed. Before placing the order, the Customer is therefore asked to expressly request and consent to immediate performance during the withdrawal period and to acknowledge that the right of withdrawal will be lost once the service has been fully performed.
8.3 The Company's service is considered fully performed once the e-vignette has been successfully registered and the Company has received confirmation of that registration. Once the service has been fully performed following the Customer's prior express request and acknowledgement, the Customer no longer has a statutory right of withdrawal in respect of that completed service, to the extent permitted by applicable law.
8.4 If the Customer still has a statutory right of withdrawal, the Customer may exercise that right by contacting the Company at [email protected] or by any other method permitted by applicable law. If the Customer withdraws before the service has been fully performed, the consequences are determined by applicable consumer law. Where permitted by law, the Customer may be required to pay a proportionate amount for services already performed at their express request.
8.5 If the Company is unable to deliver the e-vignette, the Company will refund the full amount paid for the affected order, including any registration fee.
8.6 If delivery is materially delayed because of a vignette provider or another external dependency, the Company will assess the circumstances and may, where appropriate, offer a refund or another reasonable solution. Mandatory statutory rights remain unaffected.
8.7 Where a refund is due, the Company will process it as soon as possible and no later than 14 days after it has been established that the refund is due. The refund will normally be made using the same payment method used for the order, unless this is technically impossible or another method is agreed with the Customer.
Article 9 Communication and reminders
9.1 The Company may communicate with the Customer electronically, including by email and, where available, through the Customer's Roadwise account.
9.2 The Customer is responsible for providing a valid email address and keeping it up to date.
9.3 The Company is not responsible for failure to receive an email where this is caused by circumstances outside the Company's reasonable control, including:
a. an incorrectly entered email address;
b. a full mailbox;
c. spam or junk-mail filtering;
d. restrictions imposed by the Customer's email provider; or
e. an outage or failure at the Customer's email provider.
9.4 The Company may send reminders concerning the expiry of an e-vignette. These reminders are an additional service only. The Company does not guarantee that a reminder will always be sent or received. The Customer remains responsible for renewing an e-vignette on time.
9.5 Information about previous orders shown in the Roadwise account is provided for reference only. Prices, registration fees, product characteristics and validity rules may differ when a new order is placed.
Article 10 Availability and changes to digital services
10.1 The Company aims to keep Tollvignettes.com, Roadwise accounts and its other digital services available and functioning properly. Continuous or uninterrupted availability is not guaranteed.
10.2 The Company may temporarily suspend, restrict or modify access where reasonably necessary for:
a. maintenance;
b. updates;
c. technical changes;
d. security measures;
e. fraud prevention; or
f. the resolution of a malfunction or incident.
10.3 The Company may add, change or remove functionality from the Roadwise account where reasonably necessary, for example due to technical, security, legal or operational developments. Material changes that adversely affect the Customer's use of the Roadwise account will be communicated in advance where required by applicable law. Such changes do not affect e-vignette orders that have already been completed.
10.4 Tollvignettes.com or the Roadwise account may contain links to third-party websites or services. The Company is not responsible for the content, availability or practices of an independent third party merely because a link is provided.
Article 11 Liability
11.1 The Company is responsible for performing its own contractual obligations with reasonable care and in accordance with applicable law.
11.2 The Company is not responsible for loss or damage to the extent that it results from circumstances attributable to the Customer, including:
a. incorrect or incomplete information;
b. selection of an incorrect e-vignette;
c. failure to check the registration before using a vignette-required road;
d. use of such a road before successful registration has been confirmed; or
e. failure to keep contact information up to date.
11.3 The Company is not responsible for decisions, rules, enforcement actions, system failures or other acts or omissions of vignette providers, toll authorities or other independent third parties to the extent that these matters fall outside the Company's contractual responsibility and are not legally attributable to the Company.
11.4 The Company does not itself grant permission to use a road. The competent authority determines whether a vehicle complies with applicable toll or vignette requirements and whether enforcement action, including a fine or additional charge, is imposed.
11.5 Nothing in these terms excludes or limits liability where exclusion or limitation is prohibited by mandatory law.
Article 12 Force majeure
12.1 The Company is not liable for a failure or delay in performance to the extent caused by circumstances outside its reasonable control and not legally attributable to the Company. Such circumstances may include:
a. failures or outages at vignette providers or public authorities;
b. internet, telecommunications, hosting or power failures;
c. failures at payment service providers;
d. cyberattacks or serious security incidents;
e. government measures or changes to official systems;
f. strikes;
g. fire, flooding or natural disasters;
h. war, civil unrest or terrorism;
i. epidemics or pandemics; or
j. comparable circumstances outside the Company's reasonable control.
12.2 The Company's affected obligations are suspended for as long as performance is prevented by the force majeure event. If performance of an order becomes permanently impossible and the e-vignette has not been delivered, article 8.5 applies.
Article 13 Privacy and intellectual property
13.1 The Company processes personal data in connection with Tollvignettes.com, Roadwise accounts and orders. Further information is provided in the applicable Privacy Policy.
13.2 Intellectual property rights in the Company's websites, software, designs, texts, logos, visual materials and other content belong to the Company or its licensors, unless stated otherwise.
13.3 The Customer may use this content for normal use of the Company's services. Without prior written permission, the Customer may not reproduce, publish, commercially exploit or systematically extract protected materials in a manner that infringes applicable intellectual property rights.
Article 14 Complaints
14.1 Questions and complaints can be submitted through the available contact form or by email to [email protected].
14.2 The Customer should provide sufficient information for the Company to identify the relevant order and understand the complaint.
14.3 The Company will handle complaints as soon as possible and respond no later than 14 days after receipt. If a complete substantive response cannot reasonably be provided within that period, the Company may first inform the Customer of the status of the complaint and when a further response can be expected.
Article 15 Changes to these terms
15.1 The Company may amend these terms where reasonably necessary, for example because of changes in law, vignette provider requirements, its services, technology, security or business processes.
15.2 Material changes that affect an existing Roadwise account will be communicated to the Customer in advance by email or through the Roadwise account.
15.3 Changes apply to future use of the Roadwise account and future orders from the effective date of the updated terms. They do not retroactively alter orders that have already been completed.
15.4 Where a change materially affects the ongoing Roadwise account relationship and the Customer does not wish to continue under the updated terms, the Customer may terminate their Roadwise account. Mandatory consumer rights remain unaffected.
Article 16 Language, governing law and disputes
16.1 These terms were originally drafted in English. The Company may provide translations in other languages.
16.2 If there is a discrepancy between the English source version and a translation, the English version will be used to determine the intended meaning to the extent permitted by applicable law. Mandatory rules concerning language, transparency or interpretation of consumer contracts remain unaffected.
16.3 These terms, Roadwise account agreements and orders are governed by Dutch law. This choice of law does not deprive the Customer of mandatory consumer protection granted by the law of their country of habitual residence where that protection applies regardless of the choice of Dutch law.
16.4 Disputes may be brought before the competent court under applicable law. Nothing in these terms prevents the Customer from bringing proceedings before a court that has jurisdiction under mandatory consumer protection rules.
Article 17 Special provisions for the Swiss e-vignette
17.1 For the Swiss e-vignette, the Company acts as an intermediary and technical service provider in the name and for the account of the Customer.
17.2 The Customer instructs the Company to register the specified vehicle in the electronic vignette system of the competent Swiss authority and to arrange payment of the applicable Swiss road-use charge in the name and for the account of the Customer.
17.3 The Company does not purchase the Swiss e-vignette or the underlying road-use entitlement for resale to the Customer.
17.4 The nominal Swiss road-use charge is separate from the registration fee charged by the Company for its own intermediary, technical and registration services.
17.5 The competent Swiss authority remains responsible for the official vignette system, the registration database, validity requirements and enforcement.
